These Terms and Conditions (“Terms”) govern your access to and use of PoultrySouth.com (the “Site”), operated by PoultrySouth LLC, an Alabama limited liability company (“PoultrySouth,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Brokerage Disclosure

PoultrySouth LLC operates this Site. Real estate brokerage services described on this Site are provided through Southeastern Land Group (“SELG”), a licensed real estate brokerage. The PoultrySouth Team is a team of licensed agents affiliated with SELG.

Nothing on this Site is an offer or attempt to provide real estate brokerage services in any state where PoultrySouth, SELG, or the individual agent is not properly licensed. Licensing information is available on request.

2. Informational Purposes Only

Content on the Site is provided for general informational purposes. It is not legal, tax, accounting, financial, appraisal, engineering, environmental, or investment advice, and it is not a lender commitment or a guarantee of financing.

Any income figures, grower pay estimates, cash flow projections, loan terms, or valuation ranges shown or discussed are estimates based on assumptions that may not apply to your situation. Actual results vary. Consult your own attorney, accountant, lender, appraiser, and integrator before making any decision.

3. Property Listings and Information

Property information on the Site is provided by sellers and other third-party sources. We believe it to be reliable, but we do not warrant its accuracy or completeness. All properties are subject to prior sale, price change, correction, or withdrawal without notice.

You are responsible for independently verifying all material facts before relying on them, including but not limited to acreage and boundaries, house dimensions, ages, and condition, equipment and its condition, grower contract status and terms, integrator approval and flock placement, utilities, easements, zoning and permits, environmental conditions, and any litter, nutrient management, or regulatory requirements.

Integrator approval of a buyer is determined solely by the integrator. Neither PoultrySouth nor SELG controls or guarantees the outcome of that process.

4. Equal Housing Opportunity

We support and comply with the Fair Housing Act and all applicable federal, state, and local fair housing and equal opportunity laws.

5. Intellectual Property

All content on the Site, including text, photographs, aerial and drone imagery, video, maps, graphics, layout, logos, and marks, is owned by PoultrySouth LLC or its licensors and is protected by United States copyright and trademark law.

You are granted a limited, revocable, non-exclusive license to view and print Site content for your personal, non-commercial use in evaluating a potential transaction. You may not:

Copy, reproduce, republish, or distribute Site content for commercial purposes
Use any photograph, video, or listing content in your own advertising or marketing
Scrape, harvest, data mine, or use automated tools to extract Site content or data
Frame or mirror the Site, or remove any copyright or proprietary notice
Use our names, logos, or marks without prior written permission

6. Your Submissions

Information you submit through a Site form is handled as described in our Privacy Policy. Apart from the protections in the Privacy Policy, information you send us is not confidential, and submitting it does not create a brokerage relationship, agency relationship, or attorney-client relationship. A brokerage relationship is created only by a written agreement signed by you and SELG.

Do not submit confidential, proprietary, or sensitive personal information through the Site.

7. Prohibited Uses

You agree not to use the Site to violate any law; to transmit malware or interfere with the Site’s operation or security; to gain unauthorized access to any system or account; to send unsolicited commercial messages to any address or number obtained from the Site; or to misrepresent your identity or affiliation.

8. Third-Party Links

The Site may link to third-party websites. We provide those links for convenience only. We do not control, endorse, or assume responsibility for third-party content, products, services, or practices.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PoultrySouth LLC, SELG, AND THEIR MEMBERS, MANAGERS, AGENTS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS OPPORTUNITY, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless PoultrySouth LLC, SELG, and their members, managers, agents, and employees from any claim, loss, liability, or expense, including reasonable attorney’s fees, arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

12. Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to the Site, these Terms, our text messages or other communications with you, or the relationship between us, whether based in contract, tort, statute, or any other legal theory, will be resolved exclusively by final and binding individual arbitration, and not in court.

Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect. The arbitration will take place in Clay County, Alabama, or, at your election, by telephone, videoconference, or on written submissions. The arbitrator’s award may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. You and PoultrySouth each agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding. If this class action waiver is found unenforceable as to a particular claim, then that claim, and only that claim, will proceed in court rather than arbitration.

Jury Trial Waiver. You and PoultrySouth waive any right to a trial by jury.

This section survives termination of these Terms.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Alabama, without regard to its conflict of law rules. Subject to Section 12, any action that proceeds in court will be brought exclusively in the state or federal courts located in or serving Clay County, Alabama, and you consent to personal jurisdiction there.

14. Copyright Complaints (DMCA)

If you believe content on the Site infringes your copyright, send a written notice to our designated agent at the address below including: your physical or electronic signature; identification of the copyrighted work claimed to be infringed; identification of the material on the Site and its location; your contact information; a statement that you have a good faith belief the use is not authorized; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on the copyright owner’s behalf.

15. Changes to These Terms

We may revise these Terms at any time by posting an updated version with a new Effective Date. Your continued use of the Site after changes take effect constitutes acceptance.

16. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and PoultrySouth regarding the Site. You may not assign these Terms; we may assign them in connection with a transfer of our business.
